Operating Principles and By-Laws: B'nai Tzadok | Beit Shalom
These are the operating principles and by-laws for B'nai Tzadok | Beit Shalom (BTBS). BTBS is a ministry to the assembly of believers in Yeshua Ha Meshiach (Jesus Christ). This document serves to establish and maintain those standards for which the ministry was first initiated. Emphasizing living in Yeshua, being obedient to the commandments as found in Torah, including the ha moedim (Feasts) and direction and instruction by the Ruach haKodesh as He speaks in confirmation and union with Torah.
BTBS is a not for profit religious organization in the state of Tennessee for the glory of God. The organization is a Tabernacle of David Restoration ministry ministering to both Jewish, non-Jewish, and the nations that believe in Yeshua haMeshiach or that are searching for their Messiah and truth as according to the God breathed scriptures.
BTBS is used exclusively for religious, educational, and charitable purposes, including for establishing community, worship, continued Bible study and discussion, fellowship, organization and implementation of celebrating Biblical festival events, and the making of distributions to organizations that qualify as exempt organizations under Section 501(C) (3) of the Internal Revenue Code, or corresponding section of any future tax code.
I. NAME. The official name is B'nai Tzadok | Beit Shalom. Sons of Righteousness | House of Peace is the hebraic name and is so given to represent the ministry in a “walking in righteousness as sons of YHVH and dwelling in peace” theme. These two names may be used interchangeably.
II. BOARD OF DIRECTORS. BTBS shall have a board of advisors to become a board of elders composed of at least three members. New Board Members are elected by a unanimous vote of the board. The Board of Advisors/Elders shall oversee all of the business of the ministry to ensure that the integrity of the ministry is maintained. The Board of Advisors/Elders shall determine the compensation for the ministry Director. After the ministry Director service is completed, the Board of Advisors shall appoint, compensate, and terminate the new Director for the Ministry. The Board of Advisors/Elders shall have that authority necessary to commit the ministry to any installment indebtedness with a majority vote of the board only if two-thirds of the board are willing to underwrite the indebtedness. The Board of Advisors/Elders shall conference annually during the month of November and issue an annual ministry report. The Board of Advisors/Elders may amend, modify, or replace any articles of these Operating Principles and By-Laws.
III. DIRECTOR(S). The Director of Ministries shall be responsible for the day to day operation of the ministry. All public relations for the ministry shall be conducted by the Director of Ministries. The Director of Ministries shall have such authority as necessary to administer all financial, business, and personnel matters for the ministry. The Director of Ministries shall serve in this position until such time as he resigns, is unable to perform his duties and responsibilities, or a new Director of Ministries is designated by unanimous vote by the Board of Directors.
The Founding Director and Sr. Board Member/Shoftar is Ben Davis. Mr. Davis shall serve as Sr. Board Member/Shoftar of BTBS until such time as he resigns, is unable to perform his duties and responsibilities, or a new Sr. Board Member/Shoftar is designated by unanimous vote by the Board of Advisors/Elders. The Sr. Board Member/Shoftar is a board member in standing and is the tie breaking vote. Once the Founding Director resigns or is no longer able to perform this function, a new Sr. Board Member/Shoftar will be designated by unanimous vote by the Board of Advisors/Elders.
IV. OPERATING PRINCIPLES. BTBS shall conduct all of its business dealings to the highest standards of honesty, truth, and righteousness. The appearance of impropriety and/or inappropriateness shall be avoided at all times. As this ministry is representative of the God of Heaven and Earth, all the commandments of God as written in the Scriptures are binding on all BTBS affairs and administration. BTBS shall not endorse any political candidate/proposition nor campaign in the political process to vote specifically on any matter within the community, county, state, or national elections. All activities of the ministry shall be in keeping with those things that are honoring to the Lord
The B'nai Tzadok | Beit Shalom mission statement is as follows: To provide prophetic insight and understanding concerning the return of Yeshua the Messiah to the Earth. To prepare the Saints of God both Jew and non-Jew (all of Israel) for the events of the Great Tribulation and the last years of this age. To teach the Torah and strengthen our faith and obedience in the God of Abraham, Isaac, and Jacob. To present Messiah Yeshua as the King of Israel and ourselves as His bond-servants. To encourage the believers of Messiah Yeshua by the observance of Sabbath and Biblical Festivals, as well as, all of Torah.
V. Fund-raising. It is the position of BTBS that fund-raising is not be be the norm for this ministry. However, fund-raising will be allowed if the goal is to further community relationships, make available opportunties for community members to advance Kingdom lifestyles and principles or to raise funds for a specific, approved project for the community. Solicitation of funds is not a biblical point-of-view, in contrast to the giving of tithes and offerings for the benefit of Priests, Levites, Widows, Orphans, the Needy, or as an offering that is to fulfill an oath or an imparative from the Ruach haKodesh.
